Terms of sale for paid sessions

Last updated: 2026-10-19.

1. What these terms cover

These terms apply to the purchase of paid one-to-one sessions (consultations, mentoring, coaching sessions and the like) that a professional offers and charges through VideoSuite, including when the session is booked from an academy or a site of LearnSuite, MentorSuite or AlmaSuite. They are accepted by the person who buys the session, by paying for it, and by the person who sells it, by connecting their payment account and publishing a paid offer.

The version that applies to each purchase is the one in force at the time of payment. If the terms change, the new version applies only to later purchases.

2. Who sells and what role Codelabs Studio has

The seller of the session is the professional or academy that offers it (hereinafter, "the seller"), whose name appears on the booking page. The contract for the provision of the session is concluded exclusively between the buyer and the seller: the seller sets the price, the duration, the content and the cancellation policy, delivers the session and answers for it, for its quality, for their professional qualification and for the tax and consumer-information obligations that apply to them.

Codelabs Studio, S.L. (Tax ID B88708797), Pasaje Federico García Lorca, 6, 3º E, 29130 Alhaurín de la Torre, Málaga, España. Registro Mercantil de Málaga, hoja MA-198508, inscripción 1ª. [email protected]. https://learnsuite.pro (hereinafter, "Codelabs Studio") owns VideoSuite and LearnSuite, MentorSuite and AlmaSuite and acts solely as technology provider and payment intermediary: it makes available the booking page, the calendar, the video call room and the processing of the charge through Stripe Connect. Codelabs Studio is not the seller of the session, does not provide the professional service and does not receive the price: the charge is made directly on the seller's Stripe account, and Codelabs Studio receives from the seller only the platform commission described in section 8.

3. Payment

Payment is made by card on the secure Stripe payment page (Stripe Payments Europe, Ltd.). Codelabs Studio neither sees nor stores the card details. The price shown before paying, in the currency indicated (euros, US dollars, pounds sterling, Swiss francs or Mexican pesos), is the total amount charged: VideoSuite adds no taxes, handling fees or surcharges.

While you complete the payment, the chosen slot is held for about 40 minutes. If the payment arrives but the slot is no longer available, or the meeting cannot be created because of a technical failure, you are refunded in full automatically.

Once the payment is confirmed you receive by email the invitation with the room link and the link to your personal booking page, from which you can change the time (up to three times, depending on the seller's free slots) or cancel as long as the session has not started. Stripe may also send you a payment receipt; the invoice for the session, where applicable, is issued by the seller.

4. Taxes

VAT or any indirect tax on the session is the seller's responsibility, as the person who must charge it, declare it and issue the invoice. When the seller states when creating the offer that the price includes VAT, the price shown includes it at the stated rate. Prices aimed at consumers are always shown as final prices, taxes included; if you buy as a business or professional and need a full invoice or different tax treatment (for example, reverse charge), ask the seller.

5. Cancellations and refunds

If you cancel: you may do so from your booking page until the session starts. You get a full refund if you cancel with at least the notice in hours that the seller set in the offer (24 hours, unless the payment page states another figure); if you cancel with less notice there is no refund, except as provided in section 6 on the right of withdrawal, which prevails.

If the seller cancels, or if the session cannot take place for a reason attributable to the seller, you are always entitled to a full refund. When the seller cancels from VideoSuite, the refund is processed automatically; if it does not appear, ask the seller for the refund or write to [email protected] and we will pass the claim on.

If you do not show up for a session you have not cancelled, there is no refund, unless the law provides otherwise.

A refund is always for the full amount you paid and goes to the same card. It is ordered immediately through Stripe and usually shows in your account within 5 to 10 business days, depending on your bank. Stripe does not return to the seller the fee it charged for processing the payment; the platform commission of Codelabs Studio is returned to the seller in the same proportion as the refund.

6. Right of withdrawal (consumers)

If you buy as a consumer, you have the right to withdraw from the contract within 14 calendar days of the purchase, without giving any reason, under articles 102 et seq. of the consolidated text of the General Law for the Defence of Consumers and Users (TRLGDCU). If you withdraw before the session starts, we refund the full amount, even if fewer hours remain than those of the offer's cancellation policy.

By paying, you expressly request that the session be provided on the date you chose even if that date falls within the withdrawal period, and you acknowledge that, once the session has been fully provided, you will lose the right of withdrawal (article 103.a TRLGDCU). If you withdraw when the session has already begun to be provided at your request, you will only be charged the proportional part of what has already been provided (article 108.3).

To withdraw it is enough to cancel the session from your booking page, which processes the refund instantly. You may also state it unequivocally to the seller or to [email protected] (giving the session, the date of purchase, your name and the email you paid with), for example with this text: "I hereby inform you that I withdraw from my contract for the provision of the session [title] booked for [date], purchased on [purchase date]. Name, email and date". The refund will be made within a maximum of 14 calendar days from the notice, by the same means of payment.

The right of withdrawal does not apply if you buy as a business or professional.

7. Recording of the session

When you enter the session you choose whether it is recorded or not, with the consequence explained on the same screen: without a recording there is no transcript, analysis or summary. If you choose not to record, nothing is recorded, and VideoSuite prevents it technically, it does not merely hide it. The seller sees what you chose. The only exception, stated on that same screen: if during the session a serious risk to your life or integrity, or to those of another person, becomes apparent, the conversation is kept for safety reasons (articles 6(1)(d) and 9(2)(c) GDPR), with restricted and logged access, and is handed to the authorities only if they request it.

8. For the seller: payment account and platform commission

To sell sessions you must connect a Stripe account (Stripe Connect) and complete its onboarding. By doing so, the seller accepts the Stripe Connected Account Agreement (https://stripe.com/legal/connect-account), which includes the Stripe Services Agreement, and Stripe verifies their identity and tax details. Charges are made directly on that account, Stripe deducts its fee for processing the payment and pays the rest out to the seller according to its payout schedule.

Codelabs Studio charges the seller a platform commission on each paid session, calculated on what is actually received: the price paid minus the VAT included and minus Stripe's fee. When the session is sold from an academy or a site of LearnSuite, MentorSuite or AlmaSuite, the commission of the academy's plan applies and VideoSuite adds none of its own: 0% with the paid sessions add-on, with the LearnSuite Professional, Institution and Enterprise plans, and with the MentorSuite and AlmaSuite plans; 3% with the Starter plan; and 20% under the revenue share model (no active paid plan). The server decides this commission with the plan the academy has at the moment of the charge, and it is recorded on each payment together with its origin. When the seller is a coach who sells directly from VideoSuite, without going through an academy, the commission depends on the seller's VideoSuite plan: 10% on the Free plan, 5% on Professional, 2% on Team, and the one agreed in writing on Enterprise.

The commission is withheld at the time of the charge as a Stripe application fee: first a maximum calculated on the amount without VAT and, as soon as Stripe reports its own fee, the difference is returned to the seller. If the session is refunded, the commission is returned in the same proportion. The detail of each payment and its commission is on the Payments screen of VideoSuite and in the seller's Stripe dashboard.

The seller undertakes to describe the session truthfully, to deliver it on the booked date, to comply with the tax, professional and consumer rules that apply to them, not to sell activities prohibited by law or by Stripe's terms, and to handle the buyer's complaints. Codelabs Studio may withdraw offers or suspend sales when they breach these terms, the law or Stripe's rules.

9. Liability of Codelabs Studio

Codelabs Studio answers for the correct operation of the platform and for processing the payment and the refunds that these terms provide for. It is not liable for the content, quality or result of the session, which are the seller's responsibility, nor for interruptions caused by third parties or force majeure. Nothing above limits the rights that the law gives to consumers.

10. Data protection

To book and pay, your name, email, language, time zone and booking data are processed. For the session, the seller is the data controller and Codelabs Studio acts as processor; Stripe processes the payment data as an independent controller. You will find all the information, and how to exercise your rights, in the Privacy Policy.

11. Complaints, governing law and jurisdiction

For any complaint about the session, go first to the seller. If it is not resolved, or if the complaint is about the platform or the payment, write to [email protected] or to [email protected] and we will reply as soon as possible and, at most, within one month. As a consumer you may also go to the consumer authorities of your region.

These texts are governed by Spanish law. If you contract or use the service as a business or professional, the parties submit, expressly waiving any other jurisdiction that may apply, to the Juzgados y Tribunales de Málaga (Spain). If you are a consumer, the competent courts are those determined by the mandatory consumer protection legislation (generally, those of your place of residence), and the Juzgados y Tribunales de Málaga only where the law allows it. This clause binds Codelabs Studio, S.L.; disputes with the seller are governed by the mandatory consumer protection rules.
